Terms of Service
These Terms govern your use of Bid.Guide, the procurement intelligence platform operated by Tender Guide ("we", "us"). By creating an account, accepting an invite, or otherwise using the platform you agree to them. If you don't agree, don't use the platform.
1. Scope
Bid.Guide is a SaaS + managed service that helps GCC bidders discover, qualify, draft, and submit tenders, and helps issuers publish, run, evaluate, and award them. The platform connects bidders and issuers; it does not itself bid or evaluate.
2. Your account
- You must be at least 18 and authorised to act on behalf of any firm you register.
- One person per account. Share access through workspace roles, not credentials.
- You're responsible for activity under your account; tell us immediately at security@bid.guide if you suspect compromise.
3. Bidder use
- You're responsible for the accuracy of your firm profile, certifications, and bids.
- Submitting false credentials may result in disqualification, removal from the registry, and notification to the affected issuers.
- Sealed bids are final once submitted; you can withdraw before deadline but not modify.
- If you're invited to a tender you have no obligation to participate; "no-bid" is a one-click action.
4. Issuer use
- You're the controller for all bidder data you receive through the platform; you commit to the obligations in our DPA.
- You agree not to use bidder data outside the tender it was submitted for, except as required by law.
- You agree to the standstill periods and notification windows mandated by the governing procurement law.
- You agree to provide debriefs to unsuccessful bidders within the timeframe stated in the regret notice.
5. AI features
AI features (win-score, partner matching, proposal writer, parser, notice composer) are decision-support tools. You remain solely responsible for any decision, communication, or document you approve. AI outputs may contain errors; you must review before use. We do not warrant that AI outputs are complete, accurate, or fit for any particular purpose. No bidder is qualified, shortlisted, awarded, or rejected based on an algorithm without a named human approver.
6. Fees
Self-serve tiers (Starter, Pro, Team) are billed monthly or annually at the rates posted on our pricing page. Managed Bid Service (Lite, Pro, Strategic) is billed per the engagement letter, typically retainer + success fee on awarded contract value. Fees are exclusive of VAT/withholding. Currency: USD unless specified. We give 30 days' notice of any price change to active subscribers.
7. Intellectual property
You own your data. We grant you a non-exclusive, non-transferable licence to use the platform for the term of your account. We retain ownership of the platform, its codebase, the win-score models, the design system, and any anonymised aggregated analytics. Where you upload content for processing (e.g. a tender document), you grant us a limited licence to process that content solely to deliver the service.
8. Prohibited use
- Misrepresenting your firm or your authority.
- Using the platform for collusive bidding, bid-rigging, or any anti-competitive conduct.
- Scraping, mass-export, or building competing products from our data.
- Reverse-engineering security, attempting to access another tenant's data, or interfering with operation.
- Using the platform in jurisdictions or sectors prohibited by GCC sanctions law.
9. Warranties & disclaimers
The platform is provided "as is" with commercially reasonable effort to maintain uptime (target 99.9%). We disclaim implied warranties of merchantability and fitness for purpose to the extent permitted by law. Nothing here limits any warranty that cannot be excluded under applicable law.
10. Limitation of liability
To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the platform is limited to the fees you paid us in the 12 months preceding the event. We are not liable for indirect, consequential, special, or punitive damages, including lost profits or lost contracts, even if foreseeable. Neither party limits liability for gross negligence, wilful misconduct, fraud, or claims that cannot be limited by law.
11. Indemnity
You indemnify us against third-party claims arising from your breach of these Terms, your data, or your decisions. We indemnify you against third-party IP claims that the platform itself infringes their rights (subject to standard exclusions).
12. Termination
You may close your account anytime from your dashboard. We may suspend access for breach of these Terms or for security; we'll tell you why and give you 30 days to cure unless the breach is material. On termination, your data is exported on request and erased per our retention schedule, except where law mandates longer retention (e.g. KSA tender records).
13. Governing law
These Terms are governed by the laws of the Dubai International Financial Centre (DIFC). The DIFC Courts have exclusive jurisdiction. Nothing here prevents either party seeking interim or injunctive relief in any court of competent jurisdiction.
